MARKETPLACE VENDOR RELATIONSHIP POLICY

This Marketplace Vendor Relationship Policy governs the commercial and operational relationship between Wahat Aldukhan Portal LLC, operating under the brand name Smoke Souq, and all vendors who supply, list, fulfill, deliver, or otherwise participate in the sale of products through the Smoke Souq marketplace platform.
This policy applies to all vendors participating in Smoke Souq operations, whether formally registered, operationally integrated, or supplying products through order fulfillment activities.
By participating in marketplace operations in any form, vendors acknowledge and accept this Policy.
1A. Marketplace Structure
Smoke Souq operates as an intermediary online marketplace connecting customers with independent vendors who supply and fulfill products.
Smoke Souq provides marketplace infrastructure including:

product listing platform
-
order management systems
-
payment collection facilitation
-
logistics coordination
-
operational and technical support
Smoke Souq does not act as manufacturer, distributor, or primary seller of vendor products unless expressly agreed in writing.
1B. Order Fulfillment Allocation
Smoke Souq reserves the right to allocate order fulfillment among approved vendors based on operational requirements. Vendors acknowledge that listing visibility does not guarantee fulfillment of specific orders.
2. Independent Vendor Status
All vendors supplying products through Smoke Souq operate as independent commercial entities.
Vendors are not employees, partners, agents, representatives, or legal affiliates of Smoke Souq.
Vendors retain full responsibility for:

product ownership

product legality
-
product safety and compliance
-
regulatory approvals and licensing
-
product authenticity
-
warranties and after-sales support
-
customer product-related obligations
Smoke Souq does not assume supplier liability.
3. Product Ownership
All products listed, supplied, or fulfilled through Smoke Souq remain the legal property of the respective vendor until sold and delivered to the customer.
Smoke Souq does not take ownership, possession, or title of vendor inventory unless explicitly agreed in writing.
Listing products on the platform does not transfer ownership to Smoke Souq.
4. No Inventory Purchase or Credit Supply
Smoke Souq does not purchase vendor inventory.
Smoke Souq does not operate as a reseller of vendor goods.
Smoke Souq does not receive goods on credit.
Vendor settlement cycles, including daily, weekly, or biweekly payments, represent distribution of customer sales proceeds after deduction of platform commissions, fees, or charges.
Operational settlement timing does not constitute credit supply, inventory acquisition, or purchase arrangement.
5. Payment Collection Role
Smoke Souq collects payments from customers as a payment collection agent on behalf of vendors.
Collected funds are processed and settled to vendors according to operational settlement schedules after deduction of:

platform commissions

service fees
-
logistics costs
-
administrative charges
-
operational adjustments
Settlement timing does not indicate purchase of goods by Smoke Souq.
6. Vendor Operational Responsibilities
Vendors are solely responsible for:

maintaining valid UAE trade licensing where required
-
compliance with all applicable UAE laws and regulations
-
lawful sale of regulated products
-
accurate product descriptions and listings
-
proper packaging and preparation of goods
-
product defect handling and warranty service
-
product safety and usage compliance
-
customer product-related complaints
Smoke Souq may facilitate communication but does not assume vendor obligations.
7. Delivery Responsibility
Delivery may be performed by:

logistics partners coordinated by Smoke Souq, or
-
vendor-managed delivery services
Where vendors manage delivery, vendors assume full responsibility for:
-
packaging and handling
-
transport risk
-
delivery timing
-
product condition during transit
Smoke Souq acts solely as a coordination platform.
8. Returns, Refunds and Product Disputes
Vendor-supplied products may require vendor inspection, verification, or approval before any return or refund is processed.
Vendors are responsible for validating product defects and warranty claims.
Smoke Souq may coordinate return processes but does not assume manufacturer or supplier liability.
9. Vendor Participation and Acceptance
Any vendor who:

lists products
-
supplies inventory
-
fulfills customer orders
-
performs deliveries
-
receives settlement payments
-
participates in operational coordination
-
communicates regarding order processing
-
engages in commercial activity through the platform
is deemed to have accepted this Marketplace Vendor Relationship Policy.
Participation in marketplace operations constitutes acknowledgment and acceptance of these terms without requirement for physical or digital signature.
10. Operational Communication Channels
Vendor participation in Smoke Souq operations may be coordinated through operational communication channels including but not limited to:

WhatsApp groups or direct messaging
-
Email communications
-
Order management platforms
-
Dispatch confirmations
-
Settlement reports
-
Delivery coordination messages
-
Inventory updates
-
Operational instructions
-
Any communication medium used for order processing or logistics management
All communications exchanged through these channels are considered valid commercial communications forming part of marketplace operations.
Participation in such communications constitutes operational engagement and does not alter vendor independence or marketplace structure.
Operational communication does not create partnership, employment, agency representation, inventory purchase, or credit supply relationship.
11. Regulatory Compliance
Vendors are solely responsible for ensuring compliance with all applicable UAE laws, regulations, licensing requirements, and product restrictions.
Smoke Souq performs reasonable onboarding checks but does not guarantee vendor regulatory compliance.
12. Limitation of Platform Liability
Smoke Souq provides marketplace infrastructure and coordination services only.
Smoke Souq shall not be liable for:

product defects
-
regulatory violations by vendors
-
delivery failures by vendors
-
product misrepresentation by vendors
-
warranty disputes
-
customer health or usage effects
-
vendor business conduct
Vendor remains the primary responsible commercial entity.
13. Policy Updates
Smoke Souq may modify this Policy at any time to reflect operational, regulatory, or commercial changes.
Continued vendor participation after updates constitutes acceptance of revised terms.
14. Governing Law and Jurisdiction
This Policy is governed by the laws of the United Arab Emirates.
Any disputes shall fall under UAE jurisdiction.
